Terms of Service

These terms govern your use of the Kaishu AI website and any services we provide. By engaging Kaishu AI you agree to these terms. Specific commercial terms (scope, fees, SLAs) are set out in a separate order form or statement of work.
Scope of services
Kaishu AI provides autonomous AI agents that contact long-tail overdue accounts by email and phone and handle related administrative questions on your behalf.
Pilot projects
Pilots are time-boxed evaluations on a defined subset of your ledger. Unless agreed otherwise, pilots are provided without warranty and either party may terminate on written notice.
Customer responsibilities
- Provide accurate data and lawful authority to contact each debtor and their representatives.
- Warrant that you have a lawful basis under UK GDPR and PECR (such as an existing customer relationship, legitimate interest, or consent) to send the communications generated by the service, and honour opt-outs and unsubscribe requests promptly.
- Provide any notices and obtain any consents required for the recording or monitoring of calls under PECR and UK GDPR.
- Maintain appropriate internal controls and human oversight of agent activity.
- Comply with applicable laws including data protection, consumer credit, electronic communications, and sanctions rules, and not use the services to contact sanctioned persons or in sanctioned jurisdictions.
Scope and regulatory status
Kaishu AI provides software-enabled communications sent on your behalf and is intended for business-to-business receivables only unless separately agreed in writing. Kaishu AI is not a debt collection agency, does not act as your agent for the recovery of debts, and does not carry on regulated consumer credit or other regulated activities under the Financial Services and Markets Act 2000. You remain responsible for the recovery of your receivables and for any regulated activity.
Acceptable use
You must not use the services to harass, defraud, or unlawfully pressure any person, to contact consumers in jurisdictions where you are not authorised to do so, or to contact any person in breach of applicable sanctions, anti-money-laundering, or electronic communications law.
Intellectual property
Kaishu retains all rights in its software, models, prompts, workflows, and documentation. You retain all rights in your data. You grant Kaishu a limited licence to use your data solely to provide the services.
Fees and payment
Fees, billing frequency, and payment terms are set out in the applicable order form. Invoices are payable within the period stated on the invoice. Late amounts may incur interest at the statutory rate.
AI disclosures
- AI outputs (emails, call scripts, summaries, classifications) may contain errors or omissions.
- You are responsible for reviewing AI-generated communications where appropriate and for all final financial decisions.
- The services do not constitute legal, accounting, tax, or regulatory advice.
- Human oversight of the agents' activity is recommended at all times.
Warranty disclaimers
Except as expressly stated in a signed agreement, the services are provided "as is" and Kaishu disclaims all implied warranties to the maximum extent permitted by law, including fitness for a particular purpose and non-infringement.
Limitation of liability
To the maximum extent permitted by law, Kaishu's aggregate liability arising out of or relating to the services is limited to the fees paid by you in the twelve months preceding the claim. Kaishu is not liable for indirect, incidental, special, or consequential losses, or for lost profits, revenue, or data. Nothing in these terms excludes liability that cannot be excluded under English law (such as for death or personal injury caused by negligence, or fraud).
Data protection
Where we process personal data on your behalf to deliver the services, we do so as your processor under a separate Data Processing Agreement, which is incorporated into these terms by reference once signed. See our Privacy Policy for details on our role as controller for our own contacts.
Force majeure
Neither party is liable for any delay or failure to perform caused by events beyond its reasonable control, including outages of third-party infrastructure, AI model providers, telecommunications networks, or acts of government.
Assignment
You may not assign or transfer these terms without our prior written consent. We may assign these terms to a successor in connection with a reorganisation or sale of all or substantially all of our business.
Changes to these terms
We may update these terms from time to time. We will post the updated version on this page with a new "last updated" date, and material changes will take effect 30 days after posting unless a separate signed agreement says otherwise.
Governing law
These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute.
